Bearwood Corporate Finance always operates on the buy-side of a transaction representing a prospective purchaser. Commission is not charged to vendors.

Scales of Fees Payable

For all mergers, acquisitions and joint ventures, professional fees are charged on the basis of results only, and are in respect of initiating such transactions.

Fees are payable by the purchaser on completion of the transaction whether it be concluded solely by the purchaser, an associate or as a joint venture. Fees are based on the value of the consideration given by the acquiring party, irrespective of the way the transaction may be arranged for the convenience of those involved. For the purpose of fee calculation, the consideration shall be deemed to include cash, the amount of loans made or paid off by the acquirer, the market value of any securities made available, and any amounts owing to shareholders, Directors and/or parent companies at the date of completion. Should the purchase be that of the assets or part of the assets of a sole trader, partnership or company either with or without the liabilities attaching thereto, then fees are charged on the aggregate sum of net tangible assets and goodwill.

In the event of a partial acquisition, or where the consideration is payable by instalments, fees are not charged on the balance of the consideration outstanding until this changes hands, and then only at the rate applicable to the aggregate sum.

The fees are the aggregate of: £ Sterling
3 per cent on the first 2,500,000
2 per cent on the next 2,500,000
and 1 per cent on all additional amounts up to the sum of 10 million
½ per cent thereafter

The minimum fee payable is £10,000. Should this minimum apply and there are future payments, any balance between the scale and this minimum will be treated as a payment in advance.

All fees are payable on completion of each part of the transaction and are normally outside the scope of UK Value Added Tax.
